Introduction Welcome to PromptEasy ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website and software-as-a-service platform located at prompteasy.eu (the "Service"). By registering for or using the Service, you ("Client", "User") agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. ## 2. Data Sovereignty & GDPR Compliance ### 2.1. Location of Data We guarantee that all Customer Data, including prompt templates and intellectual property stored within the Service, is hosted and processed physically within the European Union (EU). ### 2.2. Data Processing Agreement (DPA) For business clients, these Terms incorporate our Data Processing Agreement (DPA) by reference. Metacode Oy acts as the Data Processor and you act as the Data Controller. The DPA governs the processing of any personal data you upload to the Service. ### 2.3. Encryption & Data Loss You acknowledge that the Service uses high-grade encryption for sensitive data (including Prompts and Variables). We do not possess the keys to decrypt your data without your credentials. **Responsibility:** You are solely responsible for maintaining the security of your account credentials and Two-Factor Authentication (2FA) devices. **No Recovery:** If you lose access to your account credentials and 2FA methods, Metacode Oy cannot recover your encrypted data. We shall not be liable for any data loss resulting from lost credentials. ## 3. Accounts & Security ### 3.1. Registration You must provide accurate, complete, and current information during registration. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. ### 3.2. Two-Factor Authentication (2FA) The use of Two-Factor Authentication (2FA) is mandatory for all users to secure access to the platform. You are responsible for securing your 2FA recovery codes. ### 3.3. Account Responsibility You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. ## 4. Subscription & Billing ### 4.1. Pricing Model PromptEasy uses a Pre-Paid Active User pricing model. * **Active User:** Defined as a user account that has logged in or performed any operation (via UI or API) during the billing period. * **Idle User:** A user who has not logged in or performed any operation during the billing period. Idle users are not charged. ### 4.2. Billing Cycle * **Trial:** New accounts receive a 14-day free trial. * **Standard Invoicing:** Invoices are generated on the 1st day after trial ends, and then within one-month intervals. The invoice is based on the usage of the previous month. * **Enterprise Invoicing:** Invoices are handled manually and grant access for up to 100 users for one year at a time. If the user amount exceeds 100 users, extra users will be charged based on the then-valid pricing terms. ### 4.3. Payment Terms Payment is due upon receipt of the invoice or automatic charge via our payment processor (Stripe). Failure to pay may result in the suspension of your Tenant account and eventual deletion of data. ## 5. Intellectual Property (IP) ### 5.1. Your IP (The Content) We claim no intellectual property rights over the prompts, templates, or data you provide to the Service. Your profile and materials remain yours. ### 5.2. Our IP (The Platform) The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Metacode Oy and its licensors. The Service is protected by copyright and trademark laws of Finland and the European Union. ## 6. Acceptable Use You agree not to use the Service: * To violate any national or international law or regulation. * To store or generate content that is illegal, harmful, or violates the rights of others. * To attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service. ## 7. Termination We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. ## 8. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall Metacode Oy, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any content obtained from the Service. Our total liability for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Service in the three (3) months prior to the claim. ## 9. Governing Law & Dispute Resolution These Terms shall be governed and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be settled by the District Court of Helsinki, Finland. ## 10. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. ## 11.
